    Abstract: 併購是企業快速取得所需資源、市場、技術、及能?的策?方法之一。近??,企業併購活動相當盛?,?過,企業併購後失敗的機?卻很高,無法實現預期的併購效?。究其原因,本研究發現許多併購案的失敗,大?是併購後整合?佳所造成。過去經濟、財務與策?觀點的併購研究,關注併購活動是否可以產生價值或綜效的探討,而忽??企業在併購後如何實現預期價值或綜效。至於從組織與人?資源觀點進?的併購研究,雖然探討併購後對於組織或個人產生?麼影響,但也忽??如何藉由管?併購後的整合?達成預期的併購綜效。基於上述研究缺口,本研究將結合策?觀點(綜效創造)與組織觀點(綜效實現),以程序觀點探討企業在併購之後,發起合併或收購的公司如何整合被併購公司的資源或能?,?實現當初所預期的綜效或效?。關於併購後的整合,過去的研究探討相當有限,本研究將採取?階段的研究途徑,先質化後?化的方式進?探討。在第一階段的質化研究(第一及第二?),本研究將運用個案研究方法,探討四到八個臺灣企業的併購後整合個案,並發展出一個併購後整合與併購綜效實現的??模型。在第二階段的?化研究(第三?),則是針對近十?臺灣企業所進?的併購案,運用個案調查法,進?大樣本的資?蒐集與PLS (Partial Least Squire)模型的分析,實證第一階段所推導出的??模型。
    Mergers and acquisitions (M&A) is a rapid method for enterprises to acquire needed resource, market, technology, or capability. Recently, M&As prevailed among the aggressive enterprises, but the failure rate of M&As is still high. The major reason causes the failure is that the post-merger or post-acquisition integration is improper. Past researches on M&A based on economic, financial and strategic perspective focused whether the M&A can create the value or synergy and neglected how to realize the planned value or synergy. On the other end, the researches based organization and human resource management perspective focused the negative impact of M&A on the organizational or individual behavior and also neglected how to manage the integration process to attain the planned synergy of the M&A. Based on the above research gap, this study combines the strategic and organization perspectives and adopts the process perspective to explore how the acquirer integrate the resources and capabilities of the target firm and realize the expected synergies and benefits. Due to the limit researches on post-acquired or post-merger integration, this study plans to adopt two-staged approach to investigate this topic. In the first stage, this study will employ the in-dept interview and case research method to explore the integration process, integration scope, and integrative methods of Taiwanese enterprises in their M&A cases. A theoretical model will be developed base on four to eight cases of post-merger or post-acquire in Taiwanese firms. In the second stage, base on the results of the qualitative research, this study will use the case survey method to collect the large sample of M&A cases initiated by Taiwanese firms and empirically examine the relationships between the expected synergies, post-merger or post-acquisition integration, and M&A performance by using PLS(Partial Least Squire) method.
