    Abstract: 台灣工具機產業為台灣重要的產業,亦是帶動台灣經濟成長的重要因素,台灣工具機產業發展迄今已超過60年,自1990年起以來便一直高居世界前幾大生產國,在國內外市場上占有舉足輕重的地位。然而,台灣工具機廠商以中小型企業居多,一向以外銷市場為主,外銷比例高達79%以上,容易受到全球景氣波動的影響,而企業面對全球經濟結構快速變化下,必須積極的調整企業內部的資源與能力。併購是企業快速成長且最有效益的方式之一,透過併購可以快速擴大規模、進入市場,提升經營綜效,其最主要的動機是尋求技術、市場、行銷等資源與能力,其中台灣工具機廠商-友嘉集團主要是透過併購使企業成長,其產業涵蓋了工具機產業、PCB產業、產業設備、綠能產業,目前擁有完整的生產線,生產據點更是遍布全球各地,因此本研究將透過友嘉併購過程,分析其資源與能力之建構。本研究採用資源基礎觀點與動態能力理論,釐清友嘉在每一個階段中,所取得的資源和能力。友嘉的個案研究結果顯示,透過併購策略,對於其資源與能力之獲取是有一定的幫助,面對企業面對外部環境的變化,有效地利用、創造、獲取、釋放資源,以及經營者對於資源的認知,更影響併購後績效的表現。
    Taiwan’s Machine Tools is a important industry, it also a important factor of drive Taiwan’s economic growth. From Taiwan’s machine tools to the present was developing over sixty years. Since 1990, Taiwan’s machine tools always hold the top ranks of productivity, and have a important status in the world. However, Taiwan’s machine tools firm, the majority of Small and Medium-Sized Enterprises(SMEs), based on export, the rate is as high as 79%.Firm is very easily influenced by global economics.So, firms face environmental change, must to adjustment firm’s internal resources base.M&A is one of the methods to make enterprise growth quickly and efficiently, firm can through M&A to expand and enter new market. The most important of motivation is search technology, marketing etc resources and capabilities. A Taiwan’s machine tools firm - Fair Friend Group(FFG), it through M&A make firm growth. It owns machine tools, equipment, PCB, green energy industry., and possess complete production line, dealers around the world. Therefore, we want to analysis FFG’s resources and capabilities construction through M&A strategies.We’ll use resource-based theory and dynamic capabilities theory, figure out FFG access resources and capabilities in each phase. In FFG case, it’s helpful to access resources and capabilities through M&A strategies, and it can leverage, create, access, release resources and managerial resource cognition, have an influence after M&A completed.
